TERMS AND CONDITIONS OF SALES BY SCOUT DESIGN STUDIO, LLC
SUBJECT TO ACCEPTANCE
All sales are subject to acceptance by SCOUT DESIGN STUDIO (SCOUT)
This website is owned wholly by Scout Design Studio LLC. Throughout the site, the terms ‘we’, ‘us’ and ‘our’ refer to Scout Design Studio. Please read the below terms that are used to govern our site. If you do not agree with the terms, do not use this site in any way. Additionally, Scout Design Studio reserves the right to modify these terms at any time without prior notification. Site users must agree up and abide by these changes accordingly. For most up to date terms and conditions, please review this section of our website frequently.
All content on this website including photos are the property of Scout Design Studio. The contents of this website is intended for non-commercial use by the users or our site.
Acceptance of sales is based on the express condition that Buyer agrees to all of the terms and conditions contained herein. These terms and conditions represent the complete agreement of the parties, and no terms or conditions in any way adding to, modifying or otherwise changing the provisions stated herein shall be binding upon SCOUT unless made in writing and signed and approved by an authorized representative of SCOUT. No modification of any of these terms will be affected by SCOUT’s shipment of goods following receipt of Buyer’s purchase order, shipping request or similar forms containing printed terms and conditions conflicting or inconsistent with the terms herein.
PRICES AND TERMS
Orders for all products require payment in full. All accounts shall be paid upon receipt when invoiced. Orders must be paid in full, including STORAGE, taxes, freight, shipping charges and service charges prior to shipping. Checks are to be made out to Scout Design Studio. Credit cards accepted American Express, MasterCard, Discover & Visa and are subject to a credit card fee of 3%.
Additional storage fees of $10 per day per item first billable after ten (10) days will be charged to store merchandise if not picked up within ten (10) days from the date of invoice.
CANCELLATION OF ORDERS
ALL Sales are final.
All taxes of any nature whatsoever now or hereafter levied by governmental authority, whether federal, state or local, both directly or indirectly, upon the sale or transportation of any goods covered hereby shall be paid and borne by Buyer if a resale tax certificate is NOT provided. A Texas sales tax resale certificate form will be provided and must be filled out and returned to process any sale or antique transaction of SCOUT DESIGN STUDIO.
TITLE / RISK OF LOSS
Merchandise must be carefully inspected by Buyer at time of purchase. Providing the goods to carrier or shipper by SCOUT DESIGN STUDIO shall be deemed delivery to Buyer, and upon such delivery title to such goods, and risk of loss or damage, shall become the responsibility of Buyer. The Buyer shall deal with the carrier or shipper regarding any loss or damage to the goods after the shipper picks up the goods from SCOUT DESIGN STUDIO. SCOUT will cooperate with Buyer and provide any information requested by Buyer relating to goods and Buyer’s dealings with the carrier or shipper.
METHOD OF SHIPMENT
The Buyer shall determine the preferred method of shipment of the goods and shall select the carrier or shipper to be utilized for the shipment of such goods. SCOUT may provide to Buyer the names and contact information of potential carriers or shippers, but will not assume any responsibility by providing such information. From the time the Buyer’s carrier or shipper picks up the goods from SCOUT, SCOUT is relieved of any responsibility or liability for loss of or damage to the goods.
Antiques by definition are old, collectible, valuable and desirable because of their age, beauty, rarity or other unique feature. The Buyer must understand that certain antiques by the very nature bear wear, blemishes or defects, which are inherent, but shall not be considered as defective goods.
In the event that any one or more of these terms or conditions is held invalid, illegal or unenforceable, such provision or provisions shall be severed and the remaining terms and conditions shall remain binding and effective.

Acceptances of sales is based on the express condition that Buyer agrees to all of the terms and conditions contained herein and also in the material and price lists provided to Buyer relation to Scout products. PRICES AND TERMS
All prices are F.O.B. factory. A minimum deposit of fifty percent (50%) of the purchase price is required to initiate order fulfillment. Orders for in-stock products require payment in full to initiate order fulfillment. All accounts shall be paid upon receipt when invoiced. Orders must be paid in full, including shipping, handling, crating and packing, STORAGE, taxes and service charges prior to shipping. Checks are to be made out to Scout Design Studio. Credit cards accepted American Express, Mastercard, & Visa and are subject to a credit card fee of 3%.
Quotes for some custom sizes available upon request. Quotes for leather detailing, antique mirror, and other detailing or custom finishes available upon request. Custom quotes are good for 10 days. There will be a $200 charge for shop drawings if drawings are necessary for custom orders. Many wood and metal finishes are applied by hand and may vary in color, tone and character. While Manufacturer will make every effort to match a finish, no guarantee can be made of an exact match. Scout does not guarantee finishes against fading and oxidizing. Variations in color and veining are inherent in wood and considered to be part of the natural beauty. Furniture and lighting is handmade, and therefore is subject to slight variations.
The products featured on www.scoutsdesignstudio.com have been represented to the best of our ability through photography, dimensions and any other descriptions that have been provided.
Buyers are allowed to provide COM fabric.

Welt yardage amount is required only when welt is contrasting.

Sofa upholstery is 8-way hand tied springs, down with foam core seat cushions, and 50/50 down back cushions. All loose cushions on chairs are down with foam core.
Estimated lead times: 6-8 weeks.
Scout Design Studio prides itself on creating an interactive environment through the website and all other Social Media. User comments through the website or social media pages maintained by Scout Design Studio will become the property of Scout Design Studio. If an image or comment is posted through any social media website, including any image accompanied by a hashtag, referencing Scout Design Studio or any of its sister companies, you are hereby granting access to Scout Design Studio a worldwide, royalty-free, fully paid, non-exclusive, perpetual, irrevocable, transferable and fully license without additional consideration to you or any third party, to store, reproduce, distribute, perform, and display (publicly or otherwise), create derivative works of, adapt, modify and otherwise use and exploit such photos, in any format or media now known or hereafter developed, in connection with Scout Design Studio’s business.
By using this site, you agree to indemnify and hold Scout Design Studio (and it’s employees, partners and owners) harmless of any claim or demand, as well as losses, expenses, damages and costs, resulting from any violation of these terms of service of any activity related to your account (including negligent or wrongful conduct).
Scout Design Studio cannot be assumed as liable to you, the customer, for any direct, indirect, incidental, special, consequential or exemplary damages that result from the use of, or the inability use, the materials and services on this site or the performance of any of its products.
Terms of Sale:
All Sales Final. All Items sold ‘as-is’ unless an agreement has been made for refinishing services. Items left over 10 days without down payment for additional services will be assessed a daily storage fee of $10 per item per day billable upon pick-up. Items left over 30 days will become the property of Scout Design Studio. No credits/returns will be issued to the customer for this. Scout assumes no responsibility for any item after it has left the studio and/or been installed outside of the studio. Scout, only as a courtesy when requested, facilitates and/or coordinates shipments through a third party service. Any issues with freight or shipping involving a third party vendor must be directed to the third party shipper/hauler. Scout assumes no responsibility for any issues with third party shipping. If Scout assists in facilitating shipment of your item/purchase, this does not change the aforementioned terms of assuming no liability or responsibility of goods or any other matter related to your purchase from Scout Design Studio once the goods have left the studio. Tagged/Marked/Sticker pricing for any item whether purchased online through the Scout website or in the studio does not include shipping, crating, refinishing or enhancement costs unless noted on the item. No merchandise purchased at Scout Design Studio can be returned, cancelled or exchanged.
Lacquer or any refinishing color or stain can vary from samples provided by Scout. Dimensions given on website and quoting are approximate. Variations in lacquer colors, stains, metals, fabrics or any other tool used for refinishing are possible. Removal/Retrieval/Pick-Up of a refinished, new Scout Label items, reupholstered or any item purchased from Scout Design Studio acknowledges that the product meets the customer’s satisfaction. This acknowledgement holds true in the event you (the customer) have a third party person retrieves a purchased item on your behalf. All of the aforementioned terms in this paragraph apply to all items sold at Scout Design Studio.
Deposits made for outside refinishing work, i.e. items not purchased or sourced from Scout, can be refunded only 50% if customer decides to cancel job before work has commenced. In the event this occurs these pieces of furniture must also be removed from the premises of Scout Design Studio at 155 Howell Street within 5 days.
Scout neither assumes nor offers any warranty on Scout Label items or refinished/reupholstered items after they are retrieved from the studios at 155 Howell Street. Outside conditions beyond the control of Scout can affect the life expectancy on any furniture. These conditions as well as how to care for refinished furniture are detailed and can be provided if requested in a letter to the customer upon completion of a piece and/or project. Your payment for purchase to Scout Design Studio acknowledges and/or receipt of this invoice, through email, printed copy or signed transaction for credit card is an acknowledgement of all terms and conditions as presented on this receipt and on the Scout website (www.scoutdesignstudio.com).
